General Conditions of Sale and Terms of Use

(this conditions are an abstract from Italian version – pls see section 7 below)

These conditions apply to all transactions / contracts for the sale or supply of goods or services by
MultifaberSrl:hereinafter referred to as”MF”

to any

Multifaber customers , being all companies, public bodies, professionals or individuals placing orders with Multifaber participating companies, hereinafter called “customer.

1. Generalities

1.1. MF offers machine services according to the terms and conditions stipulated in this document.

MF accepts no responsability for any errors, omissions or other defects in any drawings, designs or specification prepared by or on behalf of the customer and MF shall be indemnified by the customer against and all liabilities costs and expenses incurred by MF.

The customer acknowledges that any product provided by MF is of custom design and therefore, may not be returned for credit.
Goods return and warranty will be subjected to the provisions of 6 and 5.

1.2. Orders submitted through the website or any way (such as email or fax) shall constitute an order to MF. MF acceptance of any order is expressly conditioned upon your agreement to these Terms of Use and Order Policies. By placing an order, You confirm that You have read, understood and accepted these Terms of Use and Order Policies, and You acknowledge that You are bound by them. If You do not wish to be bound by these Terms of Use and Order Policies, then do not complete your order.

1.3. The quotation request does not constitute automatically a purchase order to MF. Only the CONFIRMATION of SALE shall constitute a purchase order for the Customer.

1.4 Samples or a small test run shall be quoted and delivered separately by the rest of the batch.

2. Price
   • The pricestated in our quotation is inclusive of delivery to the delivery point stated in the form on-line upon validate the drawing by MF and received the review or technical specifications by the Customer.
   • VAT and other tax or duties payable by the Customer shall be added to the price.

3. Confidential information and patents
   • You warrants and represents that the designs, plans, schematics, manufacturing specifications, and other order-related information submitted by You, and the Custom Parts manufactured or fabricated in accordance therewith, are Your original inventions/works of authorship, designed and created by You, which do not—by themselves, or as incorporated into any system, product, device, apparatus or mechanism, or as used in a process—infringe or violate any rights (including but not limited to patent, copyright or trade secret rights) of any third party.
   • All technical data, drawings, reports, documents and information whatsoever which Customer submit to MF in connections with the quote request are confidential and such information and the copyright therein shall remain the customer’s property. MF warrants that such information may be copied or shown to third party only if the Customer’s identity and any other personal data was made anonymous by removing all confidential information from the drawings,data, reports, documents submitted.
   • MF warrants that so far as it is aware goods manufactured by third parties do not infringe any intellectual property rights.

3. Delivery, transportation andpackaging
   • Delivery will be made by MF at the delivery point specified in the contract of sale;
   • Unless otherwise specified by the Customer, MF employs express courier services (such as DHL);
   • Delivery cost is charged and already included on each quotation (DDP);
   • The quoted delivery time and the delivery date confirmed is to be considered when the goods leave the MF’s premises;
   • Where a Customer has arranged to pick up the goods himself these will be duly handed over to a person declaring himself to represent the ordering company or user. No liability will be accepted if the goods are transferred to a third party who should not have received the goods.
   • For technical reasons, MF reserves the right to under or over deliver an order. This will not constitute grounds for complaint or for refusal of the goods. If the under/over-delivery is within +/- 10% of the ordered quantity, MF will not be obliged to deliver the remaining quantity and the order will be considered as completed. Only the quantity actually delivered will be invoiced to the Customer;
   • MF provides the delivery with adequate packaging in order to preserve the goods from any damage. Under no circumstances will MF be liable for any form of consequential loss or damages.

3. MF guarantees that all delivered goods will comply with the technical reported on order confirmation except in so far as any such non-compliance arises from the data supplied by the Customer. MF’s guarantee applies to any defective boards provided the defect is notified to him in writing (within 15 days from receiving) and has been evaluated by both parties, and provided the parts are immediately returned to MF’s factories at the customer’s expense. MF’s guarantee is strictly limited to the replacement of the delivered goods under the same delivery conditions as the original order. Underno circumstances will MF be liable for any form of consequential loss or damages.

No Custom Parts may be returned without prior authorization from MF. After You have provided MF with the written notification, contact MF to request a Return Material Authorization (“RMA”) number. No product shall be accepted for return without an RMA number. When any Custom Parts are returned for examination and inspection, You assume responsibility for damage resulting from inadequate packaging and damage or loss in transit. You must return all allegedly defective Custom Parts, together with all packaging, manuals, and items included in the original box, along with a detailed explanation of the defect, within 15 calendar days from the date of receiving.

7. Payment

Orders will be invoiced upon delivery. Invoices are payable according to the payment conditions stated on the invoice as for the previous order confirm. The maximum allowed payment term is 30 days from invoice date. (According to the proposed uniform EU payment terms).

The Italian language version of these Terms of Use and Order Policies is legally binding in case of any inconsistencies or omitted between this English version and Italian version.
